What it is

People use it for European invoicing, to support a D2 visa application, to qualify for IFICI, or to have an EU base for a consulting, e-commerce or software business.

FAQ

Questions founders ask

What is a Portuguese LDA?

An LDA (sociedade por quotas) is Portugal's most common limited-liability company. Minimum share capital is 1 euro. It can have one or more partners and a managing partner, and corporate tax is 19%, with a reduced rate on the first 50,000 euros of profit for qualifying SMEs.

How long does it take?

About 10 business days with both State steps on the urgent option, once each founder has a NIF. With normal speeds, expect 4 to 6 weeks. The process is online. We sign at the notary on your behalf under a power of attorney.

What are the State (IRN) fees on top of $1,190?

Two steps, each normal or urgent. Certificate of admissibility at the RNPC: 75 euros normal (about 1 month) or 150 euros urgent (about 5 business days). Commercial registry: 220 euros normal (about 1 month) or 440 euros urgent (about 1 week). Total: 295 to 590 euros, paid through a separate EUR payment link. The commercial registry amounts are for the pre-approved articles. Articles drafted by the founders cost 360 euros normal or 720 euros urgent.

Does the LDA include a D2 visa?

No. They are sold separately and pair well. See the D2 visa and, afterwards, IFICI.

Can I be the sole partner?

Yes. A sociedade unipessoal por quotas has one partner. The minimum capital stays at 1 euro, and you can add a partner later.

Do I need to live in Portugal?

No. Non-residents can own and manage an LDA. Each founder needs a Portuguese NIF first. If you do not have one, we obtain it first.

What about accounting and tax filings?

Not included. Every LDA needs a certified accountant (contabilista certificado). We introduce a partner accountant who bills you directly, typically 120 to 250 euros per month depending on volume.

What is the Caixa Postal Digital?

The electronic mailbox where the tax authority, Social Security and other public bodies send official notices. It is effectively mandatory for companies. We activate it and cover the first 6 months. After that it renews at $49.99 per month on the same card. We email you 14 days before the first paid charge, and you can cancel from the portal.

Can the LDA hire employees?

Yes, once registered with Social Security, which is included. Your accountant handles payroll filings.
